9. Governance Committee

9.01 Composition

The Governance Committee shall be appointed by the Chairperson and shall be composed of at least three members of the Board. The Executive Vice President-CEO (EVP-CEO) shall serve as an ex officio, non-voting member.

9.02 Functions

The Governance Committee shall perform the following functions:

  1. Develop with staff a program to orient new Board members to the organization and their roles and responsibilities.
  2. Recommend to the Board standards and measurements to evaluate performance of members of the Board.
  3. Periodically, on behalf of the Board, conduct a Board self-assessment, and report to the Board its findings along with any recommendations.
  4. Make recommendations to the Board on how to improve and make more efficient and effective the Board's performance.
  5. Review recommendations of the Convention Membership Committee on the invitation of new members to the Convention and other membership issues, and make recommendations regarding the same to the Board.
  6. Review and make recommendations to the Board regarding proposed changes to these Rules.
